Clause smooths way for Riverdeep

An unusual clause over third parties in an offering memorandum helped UK-based Alchemy Partners gain almost 100% acceptances for its $376m (€350m) public-to-private buy-out of Riverdeep, the Irish educational software company.

When the final votes were counted last week, shareholders holding 96% of Riverdeep's stock voted in favour of the offer.
